1. DEFINITIONS
In these Terms and Conditions, the term “Expo” refers to SARAWAK HEALTH & WELLNESS EXPO 2010, the term “Event Manager (EM)” refers to Eagle Interactive Sdn. Bhd. (843807-A), and the term “IDA” refers to the venue provider IDA Exhibition Services (M) Sdn. Bhd. (838367-H)
2. APPROVED EXHIBITS & BOOTH
MANAGEMENT
Exhibitors shall exhibit only items which are stated in the Expo Booth Booking (“EBB”) Form submitted to EM. Exhibitors shall display legal and licensed items only, and shall be solely responsible for obtaining prior written approval from the relevant regulatory authorities for participation in the Expo, if so required. Exhibitors must ensure that their booth(s) are operational and adequately manned by competent personnel for the duration of the exhibition. Exhibitors shall not undertake or caused to undertake any activity, which in the opinion of the EM, is likely to cause disturbance or annoyance to visitors or other exhibitors. The EM reserves the right to determine the acceptability and extent of presentation or display and remove/dispose of any item and/or disallow any person, which in the opinion of the EM is deemed unfit/inappropriate/illegal/unlicensed in the Expo.
3. BOOTH ALLOCATION
The EM reserves the right to make booth allocation / reallocation to accommodate bookings or for administrative purposes, prior booking made not withstanding. Booking of booth(s) will only be considered upon full payment therefore.
4. BOOTH STRUCTURE
No additional or alteration work, painting, nailing, or drilling on any of the booth structures by the exhibitors is allowed without the prior written consent of the EM. All booth structures, fitted or otherwise, including but not limited to display materials must not exceed the maximum height of 8 feet and/or beyond the booth/floor space allocated. Any change in the design, contents or carpet colour of the booths provided can only be made with the prior written consent of the EM, and any costs associated therewith shall be borne by the exhibitors. Exhibitors are not allowed to employ a contractor of their choice to construct the booth interior and any free standing structure that may be required, unless with the prior written consent of the EM. All such work carried out must conform to the specifications stipulated in the approval letter given by the EM, and should not infringe on the rules and regulations as set out by IDA when preparing the booth presentation.
5. BOOTH SET UP SCHEDULE
Exhibitors shall settle all dues and expenses owing to EM before the commencement of the Expo. Exhibitors with outstanding payments shall not be permitted to participate in the Expo. Exhibitors will be allowed to prepare and set up their booths on 6th May, 2010 from 10.00 am to 8.00 pm. All preparations and movement of exhibits must be completed before the commencement of the Expo. Exhibitors are also responsible for the storage and transportation of their exhibits at their own costs and risks. The EM is not obliged to provide trolleys or storage space to exhibitors.
6. BOOTH DISMANTLING & MOVE-OUT
RULES
The Expo ends at 8:30pm on Sunday 9th May 2010 and exhibits may not be dismantled nor equipment removed from the booth before the official closing time of the Expo. Exhibitors must move their exhibits and belongings out of the site before 5:00 pm on Monday, 10th May 2010. Exhibitors who wish to move their exhibits / belongings after 5:00 pm on Monday, 10th May 2010 must make separate arrangements with IDA at their own cost and risk. |

Otherwise, any item left uncollected will be disposed at the expenses and risk of the exhibitors. All exhibitors are required to station at least one representative to look after their belongings until they are cleared. Damages or losses caused by exhibitors, their contractors or workmen or visitors to the fittings or content, fixtures, walls, ceilings, flooring and any other removable or fixed objects belonging to IDA and/or EM as well as other exhibitors shall be the responsibilities of the respective exhibitors. The exhibitors concerned shall repair, make good or replace the damaged property to the satisfaction of IDA, the EM or other exhibitors as the case may be. The exhibitors shall indemnity and keep indemnifying the EM against such claims and / or costs arising from such claims from IDA and / or other parties.
7. DUTY HOURS
The Expo site will be opened to the exhibitors and their staff (only those with the exhibitor’s identity tags) at 9:00am for the three days 7th May – 9th May, 2010. Exhibitors are required to leave the Expo site promptly by 9:00pm every night of the Expo.
8. IDENTITY TAGS / PASSES
A determined numbers of Expo identity tags will be issued to the exhibitors in advance for security as well as identification purposes. All exhibitors and their staff must wear these tags with their company and personal names at all times. It is the responsibilities of the exhibitors to ensure identity tags are used by their authorised personnel only.
9. SECURITY
General security will be provided by IDA before and after the Expo hours commencing at 9:00 pm on 6th May, 2010 to 10:00am daily. Exhibitors are not allowed to leave the Expo hall with any item except validated empty boxes and containers. Any other item taken out would require the written consent of EM. It is compulsory for exhibitors, their staff, delivery personnel and all helpers to wear the official Expo identity tags to enter the Expo site.
There will be no security control of items going in and out of the Expo site during the official Expo opening hours. The EM will not be held responsible for any loss, damage to the exhibitors’ belongings, suffered by the exhibitors during or after the Expo.
10. AUDIO VISUAL DEMONSTRATION,
CENSORSHIP & COPYRIGHT
It is the exhibitors’ sole and full responsibility, obligation and liability to ensure that their VCDs, CDs, DVDs, video tapes/films, or any play back format have been duly approved by the Censorship Board and all relevant authorities before they are played, displayed or sold at the Expo. The EM disclaims all and any responsibility, obligation and liability relating thereto.
11. INSURANCE & INDEMNITY
It is mandatory for the exhibitors to take up appropriate insurance for their own exhibits before, during and after the Expo, and the exhibitors hereby indemnify the EM and IDA against claims, demands, costs and expenses to which they may be subjected to as a result of loss, damage, injury, or suffering of any kind to any person(s) before, during and after the Expo. Exhibitors must ensure that their staffs, whether permanent or temporary, are insured against personal accident, with provision for medical expenses arising from such accident.
12. FIRE & SAFETY PRECAUTIONS
Exhibits and items that are for sale, display or distribution must be non-explosive and not easily combustible in nature. Exhibits which may be of a hindrance to the smooth-running of the Expo or are prohibited by the relevant government agencies or regulatory authorities will not be allowed into the Expo site without the prior written consent of the EM.

Exhibitors who because of the nature of their exhibits require special fire extinguishers for their exhibits must make arrangements at their own expense and risk for the provision of such equipment.
13. CLEANING
During the Expo, the EM or IDA will arrange for the normal daily cleaning of public areas and walkways only. Exhibitors are responsible for the cleaning of their own booths. Those requiring cleaning services should make arrangements directly with the EM or IDA.
14. LETTING OR SUB-LETTING
Letting or sub-letting of the allocated booth(s) by the exhibitors in whatever manner or form and to any party is strictly prohibited. The EM reserves the right to expel any unauthorised exhibitors, and any costs incurred thereby shall be wholly borne by the contracting party, but without prejudice to the EM to claim for compensation therefrom.
15. PAYMENT POLICY
Full payment for the booth(s) shall be made by the exhibitor together with the submission of the EBB Form. Payment must be made payable to “EAGLE INTERACTIVE SDN. BHD.”
16. CANCELLATION
No cancellation of booth booking by the Exhibitors is allowed. Booth rental paid is not refundable.
17. FACILITY LANDLORD’S SPECIAL
CONDITION
IDA informed that in the event of a Sarawak Energy Bhd power failure, IDA’s standby generator will only provide essential back-up electrical supply services.
18. CHANGES TO TERMS &
INTERPRETATION
The EM reserves the sole and absolute right to make changes, amendments and / or additions to the Term & Conditions, rules and regulations, and the layout facilities governing the Expo as and when considered necessary for the proper conduct of the Expo. Interpretation by the EM of the clauses contained herein shall be final and binding. Submission of EBB Form together with full payment of the booth rental shall be deemed as confirmation of participation and acceptance by the exhibitors of all the terms and conditions herein, as well as the rules and regulations set forth by the EM from time to time.
19. DISPUTE AND ARBITRATION
Any dispute, difference, or disagreement that may arise at anytime hereafter between the EM and exhibitor, or the rights or liabilities of the parties concerned, shall be referred to an independent arbitrator to be agreed upon by the respective parties in accordance with the laws of Malaysia. Failure to comply with any of the terms herein, as well as IDA’s condition and/or other governing rules and regulations imposed by the authorities from time to time may result in the exhibitors concerned being expelled from the Expo and any rental paid shall not be refunded. The EM reserves the right to claim compensation / reimbursement arising from non compliance/ infringement.
20. Force Majeure
The EM shall not be liable to the exhibitors by reason of any cancellation or part-time opening of the Expo, either as a whole or in part, and for any non-performance of its obligations under these terms and conditions (including any amendments thereof) in each case to the extent that such occurrence is due to any circumstances beyond its control. In the event of any occurrence not foreseen, the decision of the EM shall be final.
